Sometimes creditors insist that an arrangement between two persons unintentionally creates a partnership so that the
creditor may force someone else to pay his claim. Under the UPA (1914) there is a presumption that a sharing of
profits creates a partnership. The UPA (1994) softens this assumption by saying that a person who receives a share of
business profits is presumed to be a partner unless the payments are received in some other capacity.
